How we are structured
The two entities keep separate financial records, separate bank accounts and separate governance, and they do not share funds. Where Upcycle Foundation NPC procures training delivery from Upcycle Creative (Pty) Ltd, it does so at a market-related rate under a signed written agreement. The arrangement is disclosed rather than absorbed into either entity’s accounts.
Upcycle Creative (Pty) Ltd is the commercial company. It holds the brand and intellectual property, delivers all corporate circular economy services, manages production and maker contracting, and fulfils all orders. If you are appointing us to handle a waste stream, run a teambuilding session, or supply corporate merchandise, this is the entity you contract with.
Upcycle Foundation NPC is a separate non-profit company. It delivers free community training and skills development. It carries out no commercial activity and does not trade.

Where Upcycle Creative (Pty) Ltd purchases training services from the Foundation, it does so at market rate under a signed written agreement, and that relationship is disclosed rather than absorbed into either entity’s accounts.
We set it up this way deliberately. It means corporate clients know exactly who they are contracting with, and it means the training work stands on its own governance rather than sitting inside a trading company.

Our B-BBEE sworn affidavit is available on request. Upcycle Creative (Pty) Ltd is classified as an Exempted Micro Enterprise and is a Level 4 contributor, which carries 100 percent B-BBEE procurement recognition. The full value of your spend with us counts towards your preferential procurement score. As an EME, no verification certificate is required, so the affidavit alone is sufficient for your supplier file.

The Foundation is registered as a non-profit company with the Companies and Intellectual Property Commission. Registration with the Department of Social Development as a non-profit organisation, and with SARS as a public benefit organisation, are both currently in progress. We will publish those numbers here as soon as they are issued.
Until PBO status is confirmed, the Foundation cannot issue Section 18A tax certificates for donations. If you are considering a donation and the tax treatment matters to you, please talk to us first so we can tell you where the application stands.
What this means for your procurement process
If you need supplier documentation, we can provide the CIPC registration certificate, the B-BBEE sworn affidavit, banking confirmation and a tax clearance certificate on request. Send your vendor pack through and we will complete and return it.
